These Terms of Service (“Terms”) govern your access to and use of the CIM Build website and services (the “Services”). By accessing or using the Services, you agree to be bound by these Terms. If you are entering into these Terms on behalf of a company or other organization, you represent that you have authority to bind that entity. These Terms are an agreement between you and Estimate Labs Pty Ltd (“CIM Build,” “we,” “us,” or “our”).
1. Accounts and Acceptable Use
You are responsible for safeguarding your account credentials and for all activity under your account. You agree to use the Services only for lawful business purposes and not to: (a) violate any applicable law or regulation; (b) send unsolicited or unauthorized advertising (spam); (c) upload malware or attempt to gain unauthorized access to the Services or related systems; or (d) reverse engineer or resell the Services except as permitted by law. We may suspend or terminate access for violations.
2. Customer Data and Intellectual Property
Our IP: We and our licensors own all rights, title, and interest in the Services and all related software, content, and trademarks. No rights are granted except the limited right to use the Services under these Terms.
Your data: You retain ownership of the project data, drawings, specifications, and other materials you submit (“Customer Data”). You grant us a worldwide, non-exclusive license to host, process, and display Customer Data solely to provide and improve the Services for you.
3. Fees
Fees, billing frequency, and renewal terms are as set out in your order or subscription. Unless stated otherwise, fees are non-refundable and exclusive of applicable taxes.
4. Disclaimers
The Services are provided “as is” and “as available.” To the maximum extent permitted by law, we disclaim all warranties, express or implied, including merchantability, fitness for a particular purpose, and non-infringement. CIM Build assists with document review but does not replace professional judgment; you remain responsible for verifying outputs and for your construction, estimating, and design decisions.
5. Limitation of Liability
To the maximum extent permitted by law: (a) neither party will be liable for any indirect, incidental, special, consequential, or punitive damages, or for lost profits, revenue, or data; and (b) each party’s total aggregate liability arising out of or relating to these Terms will not exceed the amounts you paid to us for the Services in the twelve (12) months preceding the event giving rise to the claim. Some jurisdictions do not allow certain limitations, so some of the above may not apply to you.
6. Indemnification
You agree to indemnify and hold harmless CIM Build from third-party claims arising out of your Customer Data or your use of the Services in breach of these Terms, except to the extent caused by our gross negligence or willful misconduct.
7. Privacy
Our handling of personal information is described in our Privacy Policy, including your rights under the California Consumer Privacy Act (CCPA/CPRA) and other U.S. state privacy laws.
8. Governing Law and Dispute Resolution
These Terms are governed by the laws of the State of [TBD: governing-law state, e.g. Delaware], without regard to its conflict-of-laws rules. The state and federal courts located in [TBD: venue] will have jurisdiction, except that either party may seek injunctive relief in any court of competent jurisdiction.
